Terms of Service & Advertising Agreement

Please review these Terms carefully before submitting a bid or promoting a listing on Spotlight.wiki.

1. Nature of the Service (Sponsored Advertising Placement)

Spotlight.wiki is a public, digital attention discovery directory and pay-for-placement advertising marketplace. Rank positions on the leaderboard are calculated purely via a deterministic auction model.

What Your Payment Buys: Payment purchases the instantaneous computational calculation and rendering of your ranking placement on the platform leaderboard at the exact moment of fulfillment.

No Performance Guarantees: Spotlight does NOT guarantee any specific volume of traffic, visitor clicks, impressions, conversion rates, sales, or duration of rank retention.

Crucial Distinction: Spotlight is strictly a commercial advertising marketplace. It is NOT a game of chance, lottery, raffle, sweepstakes, gambling service, investment vehicle, or banking instrument.

2. Strict No-Refund Policy & Statutory Waiver of Withdrawal

Due to the instantaneous, irreversible digital nature of sponsored ranking and real-time leaderboard rendering, all bids and payments are strictly final, complete, and non-refundable once processed.

Express Waiver of Right of Withdrawal (Cooling-Off Period): By submitting a bid and completing checkout, you expressly request and agree that the digital service begins immediately upon payment confirmation. You acknowledge that you thereby forfeit and waive any statutory right of withdrawal, cancellation period, or refund rights to the maximum extent permitted by applicable law.
  • Dynamic Outbidding: Leaderboard positions are open and competitive. Competing bidders may outbid and lower your rank at any time without prior notice. Being outbid does not entitle you to any refund, credit, or chargeback.
  • No Traffic Entitlement: Receiving fewer visits, clicks, or interactions than anticipated does not create a right to a refund.
  • Downtime & Outages: Technical interruptions, routine maintenance, upstream provider downtime, or cyber-attacks do not constitute grounds for a refund.
  • Policy Violations: The delisting or suspension of a profile violating our Acceptable Use Policy creates zero entitlement to a refund or restitution.

3. Merchant of Record & Tax Compliance

All payment transactions, checkout sessions, and tax remittances on Spotlight.wiki are conducted via our third-party Merchant of Record (MoR) partners, including Lemon Squeezy and Polar.

Our MoR partners act as the legal merchant and are responsible for all applicable local sales taxes, VAT, compliance, chargeback management, and invoicing. Card details are processed directly through PCI-DSS Level 1 compliant infrastructure and are never transmitted to or stored on Spotlight servers.

4. Immutable Identity & Acceptable Use Policy (AUP)

To maintain high platform trust and prevent deceptive redirect hijacking, the destination URL and handle provided upon initial payment constitute the permanent, immutable identity of the listing.

The following content is strictly prohibited on Spotlight:

  • Malicious software, phishing schemes, URL shorteners concealing destination targets, or deceptive redirects.
  • Pornography, explicit sexual acts, or nudity in avatars or public display images. (Linking to legitimate creator portals like OnlyFans/Fansly is permitted; however, avatars on Spotlight must remain safe for work).
  • Fraudulent schemes, unauthorized financial promotions, counterfeit goods, or Ponzi schemes.
  • Defamatory, hateful, harassing, violent, or illegal content.
  • Impersonation of real individuals or unauthorized use of protected trademarks.

Right to Delist: Spotlight reserves the unconditional right to remove, suspend, or delist any profile violating these guidelines immediately, with zero entitlement to a refund.

Notice & Takedown: To report a listing violation or infringement, email us at legal@spotlight.wiki or contact us via our official X handle. Verified complaints are reviewed within 48 hours.

5. Service Availability, Discontinuation & "Sunset" Clause

Spotlight.wiki is provided strictly on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express or implied.

Right to Modify or Discontinue: Spotlight reserves the full, unconditional right to modify, pause, suspend, or permanently terminate the website, any category, or any platform feature at any time, for any reason, with or without prior notice, and without incurring any liability to advertisers or users.

Downtime Disclaimer: We make reasonable commercial efforts to maintain stability, but we do not guarantee uninterrupted uptime (SLA). Temporary downtime due to server maintenance, cyber-attacks, or cloud provider failures does not create any right to compensation or refund.

Interpretation of "Permanent" Archives: Any reference on the website to "permanent" badges, rankings, or "immortalization" in the Hall of Fame archive refers strictly to historical record retention during the active commercial operational life of the platform. It does NOT constitute a perpetual hosting covenant, lifetime uptime guarantee, or obligation to maintain domains or servers indefinitely.

6. Limitation of Liability & Monetary Liability Cap

To the maximum extent permitted by applicable law, in no event shall Spotlight, its creators, operators, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages—including but not limited to loss of profits, loss of revenue, loss of goodwill, loss of traffic, or loss of business opportunity—arising out of or related to your use of or inability to use the platform.

Aggregate Monetary Liability Cap: In any event, Spotlight's total aggregate liability arising from or related to any claim, transaction, or dispute shall be strictly capped and limited to the exact amount actually paid by you for the single specific bid transaction in dispute during the thirty (30) days preceding the incident, or $0.00 if no fees were paid.

7. User Indemnification

You agree to defend, indemnify, and hold harmless Spotlight, its operators, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your listing content, avatars, slogans, or linked destination websites; (b) any chargebacks, disputes, or reversal actions initiated by you or your payment issuer; (c) your breach of these Terms; or (d) your violation of the rights of any third party.

8. No Financial, Investment, or Professional Advice

Spotlight features listings across diverse categories including Crypto, Web3, Forex & Trading, and Telegram Alpha channels. Spotlight does not evaluate, endorse, or verify the claims made by any advertiser or linked channel. Listings and content displayed on Spotlight do NOT constitute financial advice, investment recommendations, trading signals, or legal counsel. Users visit linked third-party sites entirely at their own risk.

9. Governing Law & Exclusive Jurisdiction

These Terms, their interpretation, and any disputes, claims, or controversies arising out of or related to your use of Spotlight.wiki or any transaction conducted through the platform shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.

Exclusive Venue: You and Spotlight irrevocably agree that any legal lawsuit, action, or judicial proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located in Tel Aviv-Yafo, Israel. You hereby irrevocably submit to the exclusive personal jurisdiction of such courts and waive any objection as to inconvenient forum.

10. Class Action Waiver & One-Year Limitation on Claims

CLASS ACTION WAIVER: YOU AND SPOTLIGHT AGREE THAT ANY AND ALL PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR SPOTLIGHT MAY SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, COLLECTIVE ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

One-Year Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of Spotlight or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

11. DMCA & Intellectual Property Takedown Policy

Spotlight respects intellectual property rights and adheres to safe harbor provisions under applicable international copyright frameworks. If you believe your trademark, copyrighted image, or intellectual property is being displayed on Spotlight without authorization, please send a written takedown notice to our designated contact at legal@spotlight.wiki containing:

  • Identification of the copyrighted work or trademark claimed to be infringed.
  • The exact handle or URL on Spotlight where the allegedly infringing material is located.
  • Your contact information (name, address, telephone number, and email).
  • A statement of good faith belief that the disputed use is not authorized by the copyright owner.

12. Severability, Survival & Entire Agreement

These Terms constitute the entire agreement between you and Spotlight regarding your use of the platform. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Sections relating to No Refunds, Discontinuation, Limitation of Liability, Indemnification, Class Action Waiver, and Governing Law shall survive any expiration or termination of your listing or the platform.
